Terms of use

These terms apply when you use the Helio Lending website (heliolending.com) and the Helio Wallet app (together, the "Services"). The Services are operated by Helio Lending Pty Ltd (ABN 24 626 131 440 · Australian Credit Licence 566090), Suite 5, 606 St Kilda Road, Melbourne, Victoria 3000, Australia ("Helio", "we", "us"). By using the Services you agree to these terms. If you don't agree, please don't use them.
1. Who can use the Services
You must be at least 18 years old (or the age of majority where you live) and legally able to enter into a binding contract. You may not use the Services if you are located in, or a resident of, a country or territory subject to comprehensive sanctions, if you are named on a sanctions list, or if using the Services would break the law where you live. Some Services, including loans, are only available in certain places; see where we lend.
2. Your account and identity checks
To use some Services, including loans, you must create an account and complete identity verification. You agree to give us true, accurate and up-to-date information and documents when we ask for them, including to meet anti-money-laundering and counter-terrorism financing laws. We may refuse, suspend or close an account if we can't verify your identity, if we suspect fraud or unlawful activity, or if the law requires it.
3. The Helio Wallet
Helio Wallet is a self-custody wallet. The coins in your wallet are controlled by a recovery phrase that is created for you and that only you hold.
- You are responsible for your recovery phrase. Helio never sees it and cannot reset or recover it. If it is lost or stolen, you may lose access to your coins permanently.
- Blockchain transactions are final. Once you send coins, the transaction cannot be cancelled or reversed. Check addresses and networks carefully.
- Supported coins only. Only send coins and networks that the app supports. Coins sent on an unsupported network may be lost.
- Network (blockchain) fees are set by the network, not by us, and are shown before you confirm.
4. Swaps
You can swap one coin for another in the app. Before you confirm, we show you the rate and any fees. Rates move quickly, so a quote is only valid for a short time and may be refreshed or declined if the market moves. Completed swaps cannot be reversed. Swaps may be carried out through third-party liquidity providers.
5. Loans
Every loan is governed by its own loan agreement, which you receive and sign before the loan is made. If anything in these terms conflicts with your loan agreement, the loan agreement applies.
- Helio loans are made by Helio Lending Pty Ltd. When you take a Helio loan, the coins you pledge as collateral are transferred from your wallet into Helio's custody and held in cold storage for the term of the loan. They are returned to your wallet when the loan is repaid in full. Helio loans are non-recourse, with no margin calls, as set out in the loan agreement.
- Loans through SALT. Helio Lending is a SALT Authorized Loan Partner. If you apply for a SALT loan through us, the loan is made by SALT Lending LLC under SALT's own agreement and terms, not by Helio. Helio may receive a commission from SALT for the referral.
- Loans are subject to approval. Rates, examples and calculators on the Services are estimates, not an offer or commitment to lend.
6. Fees
Current rates and fees are listed on our rates & fees page and in your loan agreement. We tell you about any fee before you are charged. We may change our fees for future transactions by updating the rates & fees page.
7. Acceptable use
You agree not to use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud or sanctions evasion; not to use another person's account or identity; not to interfere with, attack or try to gain unauthorised access to the Services; and not to copy or scrape the Services by automated means.
8. Risks you should understand
- Price risk. Digital assets are highly volatile and can lose value quickly, including falling to zero.
- Custody risk for collateral. While your collateral is in Helio's custody, you depend on Helio to return it. If Helio became insolvent, you might only have an unsecured claim for the return of your collateral, and it may not be recoverable in full.
- Technology risk. Blockchains, networks and software can fail, be delayed or be attacked.
- Regulatory risk. Laws about digital assets can change and may affect the availability of the Services.
- Digital assets are not legal tender, are not backed by any government, and are not covered by deposit insurance or investor protection schemes such as FDIC or SIPC.
9. No advice
Information on the Services, including our articles, is general information only. It is not financial, investment, tax or legal advice, and it doesn't take your personal circumstances into account. Consider speaking with a qualified adviser before making financial decisions.
10. Third-party services
The Services may link to, or rely on, services provided by others, such as identity verification providers, blockchain networks, liquidity providers and app stores. We're not responsible for third-party services, which have their own terms.
11. Intellectual property
Helio® and the Helio logo are registered trademarks of Helio Lending. The Services and their content belong to us or our licensors. You may use them for your personal use only, and you may not copy, modify or distribute them without our written permission. SALT and the SALT logo belong to SALT and are used with permission.
12. Availability and changes
We work to keep the Services available but can't guarantee that they will always be available or error-free. We may change, suspend or discontinue any part of the Services. We may update these terms; the new version applies from the date it is posted here, and we'll notify you of material changes by email or in the app.
13. Liability
Nothing in these terms excludes rights you have under consumer protection laws that cannot be excluded, including the Australian Consumer Law. Subject to those rights, and to the extent the law allows: the Services are provided "as is"; we are not liable for indirect or consequential loss; and we are not liable for losses caused by your loss of your recovery phrase, by blockchain networks, or by events beyond our reasonable control.
14. Indemnity
If you break these terms or the law while using the Services, you agree to cover reasonable losses and costs we incur as a result.
15. Ending your use
You can stop using the Services at any time. We may suspend or close your account if you break these terms, if the law requires it, or to protect you, other users or Helio. Closing your account does not end any open loan, which continues under its loan agreement.
16. Governing law
These terms are governed by the laws of Victoria, Australia, and you submit to the courts of Victoria. Disputes about a loan are resolved as set out in your loan agreement.
